Terms of Service

1. Introduction and Agreement

This Terms of Service Agreement (the "Agreement") constitutes a legally binding agreement between you ("User," "you") and Arena Games Platform Ltd., a company incorporated in the British Virgin Islands (registration number: 2120455) ("Company," "we," "us," or "our").

This Agreement governs your use of the BeeOS website (beeos2548.com), platform, and all related tools, smart contracts, and services (collectively, the "Service"). By accessing or using the Service, connecting your blockchain wallet, or clicking "I Agree," you acknowledge that you have read, understood, and agree to be bound by this Agreement in its entirety.

IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE SERVICE.

IMPORTANT: THIS AGREEMENT CONTAINS PROVISIONS FOR BINDING ARBITRATION AND A WAIVER OF CLASS ACTION RIGHTS, WHICH AFFECT YOUR LEGAL RIGHTS. PLEASE READ SECTION 14 CAREFULLY.

2. The BeeOS Service

BeeOS provides a non-custodial, decentralized UFC-Driven Prediction Platform designed to unite UFC fans, crypto traders, and sports betting enthusiasts. The Service is a synergistic ecosystem that includes, but is not limited to:

Prediction Market: A market for making predictions on the outcomes of UFC events, as well as other major sports and crypto markets. Users can trade on various outcomes, including fight winners, methods of victory, and round-by-round results.

Prediction Hub: A social and reputational layer where users ("Callers") can build a verifiable track record based on the performance of their predictions. Other users ("Traders") can use this information to inform their own strategies.

Native Copy-Trading: A feature that allows users to automatically replicate the trades and positions of top-performing Callers on the platform.

Staking: Mechanisms for staking the native $BEEOS token to gain access to premium features, subscribe to top Callers, and participate in revenue sharing.

The Service operates through self-executing smart contracts on public blockchains. We do not have custody or control over your funds, your private keys, or the blockchains you interact with. We are not a wallet provider, exchange, broker, or financial institution.

3. Eligibility

To use the Service, you represent and warrant that:

• You are at least 18 years old and have the full legal capacity to enter into this Agreement.

• Your use of the Service does not violate any applicable laws in your jurisdiction, including any laws related to online betting or financial services.

• You are not located in, a resident of, or subject to the sanctions of any jurisdiction where access to or use of the Service is prohibited.

• You have not been previously suspended or removed from using our Service.

4. Your Responsibilities and Wallet Security

Wallet and Security: To use the Service, you must connect a third-party, non-custodial blockchain wallet. You are solely responsible for the security of your wallet, including your private keys and seed phrases. Any transactions initiated from your wallet are your sole responsibility. We never have access to your private keys.

Do Your Own Research (DYOR): You are solely responsible for evaluating and understanding the risks associated with any prediction, trade, or digital asset you interact with through the Service. The performance of Callers is not a guarantee of future results. We do not endorse, guarantee, or provide any financial advice or recommendations.

Taxes: You are solely responsible for determining and paying any and all taxes that apply to your transactions and earnings from the Service.

5. Prohibited Activities

You agree not to engage in any of the following activities:

• Using the Service for any illegal purpose, including but not limited to illegal gambling, money laundering, or terrorist financing.

• Manipulating market prices, engaging in wash trading, or other deceptive practices to artificially inflate performance metrics or trading volumes.

• Using bots, scrapers, or other automated means to interact with the Service in a way that disrupts its normal operation or without our express permission.

• Attempting to exploit any bug or vulnerability in the Service.

• Creating multiple accounts to abuse the platform's rules, leaderboards, or incentive systems.

• Infringing on the intellectual property rights of the Company or any third party.

• Distributing spam, viruses, or other harmful code.

We reserve the right to investigate any suspected violations and take appropriate action, including but not limited to disqualifying users from competitions, adjusting performance metrics, and terminating access to the Service.

6. Platform-Specific Terms

Prediction Market: All predictions and trades are executed via smart contracts. You acknowledge that market odds and prices can be highly volatile. All transactions on the blockchain are final and irreversible.

Prediction Hub and Copy-Trading: The Prediction Hub is for informational and reputational purposes. The data provided, including Caller performance, is not financial advice. When you use the Copy-Trading feature, you do so at your own risk. You are responsible for setting your own risk parameters and monitoring your account. We are not liable for any losses incurred as a result of using the Copy-Trading feature.

Staking: The Service allows you to stake $BEEOS tokens. Staking provides access to certain platform features and makes you eligible for a share of platform revenue, as determined by the platform's governing rules. Staking may be subject to lock-up periods or other conditions, which will be clearly displayed within the user interface. There are inherent risks in staking, including smart contract vulnerabilities and the potential loss of staked assets.

7. Intellectual Property

We own all intellectual property rights to the Service, including our name, logo, software, and website design. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal use, subject to this Agreement.

You retain ownership of any content you create (such as analysis or comments), but you grant us a worldwide, royalty-free license to display it on the platform and use it for promotional purposes.

8. Assumption of Risk

You acknowledge and agree that you understand the inherent risks associated with cryptographic systems, blockchain technology, and prediction markets, including:

Price Volatility: The value of cryptocurrencies and digital assets is highly volatile.

Smart Contract Risk: There is a risk of bugs, exploits, or failures in the smart contracts underlying the Service, which could result in the loss of funds.

Regulatory Uncertainty: The regulatory landscape for digital assets, derivatives, and prediction markets is uncertain and may change at any time.

Transaction Finality: Blockchain transactions are irreversible.

No Guarantee of Profit: There is no guarantee of profit when using the Service. You may lose some or all of the funds you use on the platform.

YOU ACCEPT AND ACKNOWLEDGE THAT YOU ARE SOLELY RESPONSIBLE FOR ANY AND ALL LOSSES RESULTING FROM THESE AND OTHER RISKS.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY INFORMATION PROVIDED, INCLUDING CALLER PERFORMANCE DATA, WILL BE ACCURATE OR RELIABLE.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, OR USE, INCURRED BY YOU OR ANY THIRD PARTY, WHETHER IN AN ACTION IN CONTRACT OR TORT, ARISING FROM YOUR ACCESS TO OR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE GREATER OF (A) $100 USD OR (B) THE TOTAL FEES YOU PAID TO US IN THE 12 MONTHS IMMEDIATELY PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, or your violation of this Agreement.

12. Amendments

We reserve the right to modify this Agreement at any time. We will notify you of any material changes by updating the "Last Updated" date at the top of this Agreement. Your continued use of the Service after any such change constitutes your acceptance of the new Agreement.

13. Termination

We may, in our sole discretion, suspend or terminate your access to the Service at any time, for any reason, including for a breach of this Agreement. Termination of this Agreement will not limit any of our other rights or remedies.

14. Dispute Resolution and Governing Law

Governing Law: This Agreement and any dispute arising out of it shall be governed by and construed in accordance with the laws of the British Virgin Islands, without regard to its conflict of law principles.

Arbitration: Any dispute, controversy, or claim arising out of or relating to this Agreement shall be resolved by final and binding arbitration administered in the British Virgin Islands.

Class Action Waiver: YOU AGREE THAT ANY CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

15. Miscellaneous

Entire Agreement: This Agreement, together with the Privacy Policy, constitutes the entire agreement between you and us regarding the Service.

Severability: If any provision of this Agreement is found to be unenforceable, the remaining provisions will continue in full force and effect.

No Waiver: Our failure to exercise any right under this Agreement will not be deemed a waiver of that right.
